  1. Contracting Method
    By placing an order on the upnethost.com website or through the Client Zone at portal.upnethost.com, the Client expressly accepts this Terms and Conditions document.
  2. Terms
    These Terms and Conditions govern all services provided by Upnet IT SRL. By using our services, the Client acknowledges having read, understood, and accepted these Terms. The Terms may be updated periodically; continued use implies acceptance of the updated version.
  3. Placing an Order
    Orders are placed via our Website or Client Portal. Clients must provide accurate billing and contact information. Orders are processed only after payment confirmation. Upnet IT SRL reserves the right to decline or cancel any order for justified reasons, such as legal restrictions or service misuse.
  4. Provided Services
    We provide infrastructure-related services including:
  • Shared and Dedicated Web Hosting
  • Virtual Private Servers (VPS)
  • Dedicated Servers
  • Domain Registration and DNS management
  • SSL Certificates and Email Hosting
  • Google Workspace Subscriptions
  • Private Cloud Solutions
  • Colocation Services

Descriptions, specifications, and availability are detailed on the Website. Upnet IT SRL reserves the right to discontinue or modify services at its sole discretion.

  1. Pricing
    All prices are displayed in EUR on the official website (www.upnethost.com) or in the Client Zone (portal.upnethost.com), and do not include VAT unless explicitly stated otherwise. Price changes may occur due to currency fluctuations or supplier changes. Existing annual contracts remain valid at the agreed price until renewal. Monthly contracts may be subject to price adjustments with prior notification, in accordance with the contract’s notification period.
  2. Payment Methods
    Accepted payment methods include:
  • Wire transfer to our official bank account (details available in the Client Portal)
  1. Bank Transfer Payments
    Clients opting for wire transfer must cover all banking fees. Payment must reference the correct invoice number. Services are activated only after funds are received in full.
  2. Payment Terms, Suspension, Additional Fees, Deletion of Services and Domains
    Invoices are due upon issuance unless stated otherwise. Payment delays:
  • 7 days overdue: Service suspension
  • 14 days overdue: Service termination and data deletion
  • Domain renewals must be paid before expiration to avoid loss
    Late payments may incur reactivation or restoration fees.
  1. Right of Withdrawal
    In accordance with applicable consumer protection laws, Clients may withdraw from a contract within 14 days of order placement if the service has not yet been delivered or activated. Refunds may be prorated or denied if usage has occurred.
  2. Termination
    Clients may cancel services via the Client Portal or written request. Recurring services must be cancelled at least 7 days before the renewal date. No refund is issued for unused portions unless otherwise agreed.
  3. Uptime Guarantee
    Upnet IT SRL guarantees 99.9% uptime per calendar month, excluding:
  • Scheduled maintenance (with prior notice)
  • Force majeure events
  • Downtime due to third-party software or user actions
    If uptime falls below guaranteed levels, service credit may be requested within 7 days.
  1. Backups
    We perform regular automated backups for shared hosting accounts for disaster recovery purposes. These backups are typically retained for a limited time and may not be available on demand. Clients using VPS, dedicated servers, colocation, or unmanaged services must implement their own backup strategies. Upnet IT SRL does not guarantee the availability, completeness, or reliability of any backup. Clients bear full responsibility for safeguarding their own data.
  2. Use of Services
    Clients agree to use services responsibly and in accordance with all applicable national and international regulations. This includes:
  • Providing truthful and up-to-date registration and billing information
  • Keeping login credentials confidential and secure
  • Notifying us immediately of any unauthorized use or security breach
  • Ensuring that any content or software uploaded to our infrastructure does not infringe third-party rights
    Clients are fully responsible for the legality, integrity, and reliability of the data and activities they conduct through our platform.
  1. Prohibited Uses
    Clients are strictly prohibited from using services for any unlawful or harmful activities, including but not limited to:
  • Sending unsolicited bulk messages (spam) or phishing attempts
  • Hosting or distributing malicious code, viruses, ransomware, or botnets
  • Sharing or storing pirated software, movies, music, or other copyright-infringing materials
  • Launching or participating in denial-of-service (DDoS) attacks
  • Gaining unauthorized access to other systems or networks
    Violations will result in immediate service suspension and potential legal reporting.
  1. Prohibited Activities
    The following activities are explicitly forbidden and may result in account termination without refund:
  • Hosting or promoting pornographic, adult, or sexually explicit content
  • Engaging in cryptocurrency mining (e.g., Bitcoin, Ethereum) without written authorization
  • Running open proxy services, anonymizers, or unauthorized VPN exit nodes
  • Operating services that intentionally degrade shared server performance
  • Selling or reselling any part of the hosting infrastructure without prior consent
    These rules are in place to ensure the security, stability, and fairness of the services provided to all clients.
  1. Use of Resources
    Each hosting plan includes defined resource limits (CPU, RAM, bandwidth, I/O operations, and storage). These limits are set to ensure fair use among all clients on shared infrastructures. Clients must:
  • Monitor their resource consumption through the client panel or system tools
  • Optimize applications and code to avoid excessive load
  • Use caching, database indexing, and other performance best practices

Excessive or abusive usage includes but is not limited to:

  • Running background processes or daemons continuously on shared environments
  • Causing significant slowdowns that affect other users on the same server
  • Ignoring repeated notifications or warnings about resource overuse

Consequences of resource abuse include temporary throttling, service suspension, mandatory plan upgrade, or termination in severe or repeated cases. Upnet IT SRL reserves the right to enforce fair usage policies to maintain system integrity.. Excessive or abusive use may result in throttling, suspension, or mandatory upgrade. Clients must monitor and optimize their applications accordingly.

  1. Responsibilities
    Clients are responsible for:
  • The security and legality of hosted content
  • Timely payment of invoices
  • Providing accurate contact details
    Upnet IT SRL is not liable for:
  • Loss of profits or indirect damages
  • Downtime beyond our control
  • Misuse of services by third parties
  1. Personal Data Processing
    We process personal data in line with GDPR and Moldova’s data protection regulations. Details include:
  • Purpose: Account creation, billing, service delivery
  • Storage: Secure servers, limited access
  • Rights: Clients may request access, correction, or deletion

  1. Force Majeure
    Upnet IT SRL shall not be held responsible for failure to fulfill obligations due to events such as natural disasters, pandemics, war, strikes, power outages, or major cyber-attacks.
  2. Governing Law – Jurisdiction
    These Terms are governed by the legislation of the Republic of Moldova. Any legal disputes shall be settled by competent courts in Chișinău, Moldova.
  3. Intellectual Property Rights
    All texts, logos, and software components on the Website and Client Portal are owned by Upnet IT SRL or its licensors. Copying or redistributing content without permission is prohibited.
  4. Final Provisions
    If any clause herein is deemed invalid or unenforceable, it shall not affect the validity of the remaining clauses. These Terms may be updated with prior notice on the Website. Clients are responsible for reviewing them periodically.
